Introduction

Companies, and in particular private limited companies, are today one of the most important contributions of corporate law to the modern economy and, at the same time, the most decisive vehicle for the development of business activity.

Objectives

The main objective of the subject is to provide a detailed and in-depth knowledge of the various aspects of partnerships (general and limited partnerships) and corporations. Particular attention will be paid to the distinguishing features of the limited company and the public limited company, with the aim of acquiring a mastery of the profile of each type of company, adapted to each business.

Evaluation systems and criteria

The continuous assessment system is adopted. The final mark is the arithmetic mean of the following figures:

(i) 60% of the mark will be obtained in the final examination, which consists of an oral exam in which the student must answer one of two questions chosen at random from among forty-eight possible questions. The list of questions will be published on the intranet.


(ii) For 30%, the average of the three best marks obtained by the student in his or her interventions in class in relation to the analysis of the practical cases. It should therefore be noted that in order to obtain this average mark, it is essential to have made at least three interventions in class. The case studies will be analysed in class and the day on which they will be carried out will also be announced in class.


(iii) 10% for class attendance during the course.


The continuous assessment mark will be taken into account in the ordinary exams and in the extraordinary exams in July.
Failure to attend the continuous assessment lectures will result in a negative mark in the subject. This means that, depending on the number of lectures missed, the final mark resulting from the overall evaluation of the subject will be reduced by up to one point. For example, if you miss one class, your grade will be reduced by 0.4 points, if you miss two classes, by 0.7 points, and if you miss three classes, by 1 point.

This criteria does not apply to Erasmus or exchange students, nor to double degree students.
